Terms of Service

Welcome to InspectMatch. These Terms of Service (the "Terms") form a binding agreement between you and InspectMatch, LLC ("InspectMatch", "we", "us", or "our") and govern your access to and use of the InspectMatch websites, mobile applications, and related services (collectively, the "Service"). Please read them carefully. By creating an account or using the Service, you agree to these Terms.

Important. Section 17 contains a binding arbitration agreement and class action waiver that affect your legal rights. Please read it carefully.

1. Definitions

"Buyer" means a homebuyer or homeowner using the Service to find inspection or contractor services.

"Realtor" means a licensed real estate professional using the Service to coordinate inspections and repairs on behalf of clients.

"Inspector" means a home inspection professional approved to offer services through the Service.

"Contractor" means a licensed trade professional approved to offer repair services through the Service.

"Service Provider" means an Inspector or Contractor collectively.

"User" means any person who accesses or uses the Service in any capacity.

"Content" means any text, images, reviews, photos, files, or other materials submitted to or generated through the Service.

2. Eligibility and Acceptance

You must be at least 18 years old and capable of forming a binding contract to use the Service. If you are using the Service on behalf of a business or other entity, you represent that you have authority to bind that entity to these Terms. By creating an account or otherwise accessing the Service, you accept these Terms, our Privacy Policy, and any additional terms presented to you for specific features.

3. The Service

InspectMatch operates a marketplace platform that connects Buyers and Realtors with Inspectors and Contractors. The Service includes inspector matching based on a property questionnaire, online booking and messaging, inspection report delivery, a contractor directory, repair quote requests, a home maintenance portal, a Home Health Score, partner offers, reviews, and related tools.

InspectMatch is not an inspector, a contractor, a real estate agent, a broker, an attorney, or a financial advisor. We do not perform inspections or repairs ourselves. Service Providers listed on the Service are independent third parties, not employees or agents of InspectMatch. Any contract for inspection or repair services is solely between you and the Service Provider.

4. Account Registration and Security

To use most features of the Service you must create an account and provide accurate, current, and complete information. You are responsible for keeping your password confidential and for all activity that occurs under your account. Notify us promptly at support@inspectmatch.com if you believe your account has been compromised. We may suspend or terminate accounts that contain false information or that we reasonably believe have been used to violate these Terms.

5. Buyer and Realtor Obligations

If you use the Service as a Buyer or Realtor, you agree to: provide accurate property and contact information; honor scheduled appointments or cancel within a reasonable window; pay agreed amounts to Service Providers in accordance with their terms; communicate respectfully; and leave reviews that are honest and based on first-hand experience.

6. Inspector and Contractor Obligations

If you use the Service as an Inspector or Contractor, you represent and warrant that you hold all licenses, certifications, registrations, and insurance required by applicable law to perform the services you offer; that the information in your profile (including license numbers, insurance carriers, certifications, and service areas) is accurate and current; and that you will perform services in a professional, competent, and timely manner consistent with industry standards. You agree not to circumvent the Service to avoid applicable fees or to take leads off-platform after they originate through the Service.

Approval as a Service Provider is at our sole discretion. We may suspend, decline, or revoke approval based on license verification, complaint history, dispute outcomes, or any other factor we consider material to platform quality.

7. Bookings, Quotes, and Payments

The Service may facilitate scheduling, messaging, quote exchange, and (where available) payment processing between Users. Specific pricing, scope, and terms for any inspection or repair are between the Buyer (or Realtor on the Buyer's behalf) and the Service Provider. Where InspectMatch charges platform fees, subscription fees, or commissions, applicable amounts are disclosed at the point of sale or in your account dashboard. Payment processing may be performed by third parties subject to their own terms.

8. Reviews and Ratings

Reviews must reflect a User's genuine, first-hand experience with a completed transaction. Reviews must not contain unlawful, defamatory, harassing, or deceptive content; promotional or commercial content unrelated to the transaction; or personal information of others. We may remove reviews that violate these Terms or that we reasonably believe were submitted to manipulate ratings.

9. Disputes Between Users

The Service includes a built-in dispute mechanism for bookings, quotes, and repair jobs. Submitting a dispute does not guarantee a particular outcome. InspectMatch may, but is not required to, mediate disputes, recommend refunds, or take action against accounts. Where the parties cannot reach resolution through the platform, each party retains all rights and remedies available under applicable law.

10. Acceptable Use

You agree not to: violate any law or regulation; infringe any intellectual property or privacy right; transmit malicious code or interfere with the Service; scrape, crawl, or extract data from the Service except as expressly permitted; impersonate any person or entity; circumvent fees or routing logic; create accounts by automated means; or use the Service to harass, defame, or threaten others. We may investigate and take action against any conduct we reasonably believe violates these Terms or harms the Service or other Users.

11. Your Content

You retain ownership of Content you submit. By submitting Content, you grant InspectMatch a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, modify (for formatting), display, and distribute that Content as necessary to operate, promote, and improve the Service. You represent that you have all rights necessary to grant this license and that your Content does not violate these Terms or any third-party right.

12. Our Intellectual Property

The Service, including all software, designs, logos, text, graphics, and trademarks, is owned by InspectMatch, LLC or its licensors and is protected by intellectual property laws. We grant you a limited, revocable, non-transferable, non-exclusive license to access and use the Service for its intended purposes. No other rights are granted.

13. Third-Party Services and Partner Offers

The Service may include links to or offers from third parties, including warranty providers, insurance carriers, and maintenance plan vendors. We do not control and are not responsible for third-party products, services, or content. Your interactions with third parties are governed by the terms and policies of those third parties.

14. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, InspectMatch DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT THE QUALIFICATIONS, WORK, OR CONDUCT OF ANY SERVICE PROVIDER, BUYER, REALTOR, OR OTHER USER. ANY RELIANCE ON CONTENT OR ON ANOTHER USER IS AT YOUR OWN RISK.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, InspectMatch AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO InspectMatch IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY OR (B) ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU IN FULL.

16. Indemnification

You agree to indemnify, defend, and hold harmless InspectMatch, LLC and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your Content, your services as a Service Provider, your violation of these Terms, or your violation of any law or third-party right.

17. Binding Arbitration and Class Action Waiver

Except for claims that may be brought in small claims court or claims for injunctive relief related to intellectual property, any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by JAMS in accordance with its rules. The arbitration will be conducted in Sheridan, Wyoming or remotely by mutual agreement. Judgment on the award may be entered in any court of competent jurisdiction.

Class Action Waiver. You and InspectMatch agree that disputes will be brought only in an individual capacity and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding. The arbitrator may not consolidate the claims of multiple parties.

30-Day Right to Opt Out. You may opt out of arbitration by sending written notice to legal@inspectmatch.com within 30 days of first accepting these Terms. Opting out will not affect the rest of these Terms.

18. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict of laws principles. For any matter not subject to arbitration under Section 17, the parties consent to the exclusive jurisdiction of the state and federal courts located in Sheridan County, Wyoming.

19. Termination

You may stop using the Service at any time. We may suspend or terminate your account and access to the Service at any time, with or without notice, for any reason, including violation of these Terms. Sections that by their nature should survive termination will survive, including Sections 11, 12, 14, 15, 16, 17, 18, and 21.

20. Changes to the Service or Terms

We may modify the Service or these Terms at any time. Material changes to these Terms will be posted on this page and the "Last updated" date above will be revised. If you continue to use the Service after changes take effect, you accept the revised Terms. If you do not agree, stop using the Service.

21. General Provisions

Entire Agreement. These Terms, together with the Privacy Policy and any feature-specific terms, constitute the entire agreement between you and InspectMatch regarding the Service.

Severability. If any provision is held unenforceable, the remaining provisions remain in full force.

No Waiver. Our failure to enforce any provision is not a waiver of our right to do so later.

Assignment. You may not assign these Terms without our written consent. We may assign these Terms without restriction.

Notices. We may give notice through the Service, by email to the address on your account, or by posting at https://inspectmatch.com.
